Acceptance of Terms

By accessing or using Predien ("the Service"), provided by Predien LLC ("Predien," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

Eligibility

You must be at least 18 years of age and have authority to bind your organization to use the Service. By creating an account, you represent that the information you provide is accurate and complete, and you agree to maintain the accuracy of your account's information.

License

Subject to your compliance with these Terms, Predien grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, including your connected dashboards, scenario models, and insights.

Prohibited Conduct

You agree not to:

• Use the Service in violation of any applicable law or regulation
• Attempt to reverse engineer, decompile, or disassemble any part of the Service, including the proprietary decision engine, formula parser, or scenario modeling logic
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its infrastructure, or another tenant's isolated data
• Use the Service to build a competing decision intelligence or business analytics product
• Resell, sublicense, or redistribute access to the Service without written permission
• Circumvent role-based access controls (Owner, Admin, Member, Guest) or share invitation tokens with unauthorized users

Third-Party Integrations

The Service connects to third-party data sources and systems you authorize, including ERP systems, CRM platforms, QuickBooks, Snowflake, and other databases, as well as third-party AI reasoning providers used for analytical query processing. Your use of those integrations is subject to their separate terms. Predien is not responsible for third-party services, including any downtime, data formatting issues, or errors originating from your connected source systems.

Content Ownership and Rights

Your Content
You retain all ownership rights to the business data you connect to the Service. By using Predien, you grant us a limited license to ingest, structure, and process that data solely for the purpose of building your analytical model, dashboards, scenarios, and insights, and to enable your assigned forward deployed analyst to configure and maintain your account.

AI-Generated and Analyst-Curated Output
Insights, anomaly flags, forecasts, and scenario projections generated by the Service are provided "as is." While the Service combines AI detection with forward deployed analyst review and validation before publishing, Predien does not guarantee the accuracy, completeness, or fitness of any output for a particular business, financial, or strategic decision. All decisions remain your sole responsibility.

Intellectual Property
Predien owns all rights, title, and interest in and to the Service, including the proprietary decision engine, formula parser, SQL calculation engine, statistical forecasting models, scenario modeling logic, dashboard architecture, and related intellectual property. Nothing in these Terms transfers any ownership rights to you. If you provide feedback, suggestions, or ideas about the Service, you grant Predien a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback without restriction or compensation.

Forward Deployed Analyst Engagement

Each account is assigned a forward deployed analyst responsible for onboarding configuration, data mapping, insight curation, and scenario maintenance. You agree to provide reasonably timely access to data sources, clarification on business structure, and feedback during onboarding to enable the analyst to deliver the Service. Delays in providing access or feedback may extend onboarding timelines. The forward deployed analyst's annotations, commentary, and recommendations reflect professional judgment based on available data and do not constitute financial, legal, or investment advice.

Service Availability

Predien strives to maintain high availability but does not guarantee uninterrupted access to the Service. We may perform scheduled maintenance, updates, or experience unforeseen outages. We will make reasonable efforts to provide advance notice of planned downtime.

Fees and Payment

Pricing for the Service is detailed in your order form or service agreement. By subscribing to the Service, you agree to pay all applicable fees. You are responsible for all taxes associated with your use of the Service. Fees are non-refundable except as expressly stated in writing.

Termination

Either party may terminate this agreement at any time, subject to the notice period set out in your service agreement. Upon termination:

• Your license to use the Service ends immediately
• You must cease all use of the Service
• We will delete or return your account data in accordance with our data retention policies
• Any outstanding fees become immediately due

Predien reserves the right to suspend or terminate your access if you violate these Terms, attempt to breach tenant data isolation, or if your use poses a security risk.

Disclaimers

The Service and all output, including dashboards, insights, forecasts, and scenario projections, are provided "as is" and "as available." To the fullest extent permitted by law, Predien disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Output generated by the Service does not constitute financial, legal, accounting, or investment advice. Always consult a qualified professional before making strategic, financial, or operational decisions based on platform output.

Indemnification

You will defend, indemnify, and hold harmless Predien, its affiliates, and their directors, officers, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from or related to your business data, your use of the Service, or your violation of these Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of USA, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of USA.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Miscellaneous

Entire Agreement: These Terms, together with your service agreement, constitute the entire agreement between you and Predien regarding the Service and supersede any prior agreements.

Assignment: You may not assign or transfer these Terms without Predien's prior written consent. Predien may assign its rights and obligations freely.

Severability: If any provision is held unenforceable, the remaining provisions will remain in full force.

Waiver: Predien's failure to enforce any provision is not a waiver of its right to do so later.
